CROSSROADS UNIT

TEXAS STATE ASSOCIATION OF PARLIAMENTARIANS
Article I - Name
The name of this Unit shall be Crossroads Unit, a division of the NATIONAL ASSOCIATION OF
PARLIAMENTARIANS® (NAP), and affiliated with TEXAS STATE ASSOCIATION OF PARLIAMENTARIANS (TSAP).
Article II-Object
The object of this Unit shall be to promote the study of parliamentary procedure and the educational
programs of NAP and TSAP on a local level; to lend aid and strength to the parliamentary activities of its
members.
Article III-Membership
Section 1: The membership of this Unit shall be composed of primary, affiliate, and provisional
members. The membership year is January 1 through December 31.
A. Primary members of this Unit shall be those who are members of NAP and TSAP and who declare
their primary membership to be in the Crossroads Unit.
B. Affiliate members are NAP members who are primary members of another Unit.
C. Provisional members are those members who are preparing for NAP membership. Provisionals
are not NAP members, but are members of TSAP. They may hold any Unit office except that of the
President and Vice President. They are not counted in determining delegate representation or in
the election of such delegates to NAP and/or TSAP meetings. They shall be entitled to all other
Unit membership privileges.
Section 2: Eligibility
A. Any member of NAP is eligible for membership in the Unit and shall become a member upon
payment of Unit dues.
B. Any individual preparing for NAP membership is eligible for provisional status in this Unit (and
become a member of TSAP) and shall become a provisional upon payment of Unit and TSAP
dues.
Section 3: Annual Unit dues for all categories of members shall be $10.00. The Unit shall assess a
one-time initiation fee of $3 to all new members of any category.

A. All dues and fees shall be payable on or before January 1, shall be delinquent February 1, and
membership forfeited if dues are not paid by March 1.
B. Dues and/or fees received from new members between September 30 and December 31 will be
credited to the following year.
C. Renewal of primary and affiliate dues (NAP and TSAP) are payable directly to NAP. Unit dues are
paid to the Unit.
D. Provisionals are not members of NAP. Provisional Unit (see Article III- Membership, Section 3)
dues and TSAP dues (see TSAP Bylaws) are paid to the Unit.
Section 4: The membership year shall be from January 1 through December 31.
Article IV-Officers
Section 1: The elected officers of this Unit shall be a President, a Vice President, a Secretary, a
Treasurer, and an Executive Member.
Section 2: All officers shall serve for one year or until their successors are elected and take office.
Section 3: A vacancy in the office of President shall be filled by the Vice President; a vacancy in any
other elected office shall be filled for the unexpired term by a ballot vote of the Executive Board.
Section 4: Duties of officers
A. The President shall:
1) preside at all meetings and serve as Chairman of the Executive Board;
2) appoint a Parliamentarian at each meeting;
3) at the May meeting appoint the members of the standing committees;
4) ensure that the Bylaws are reviewed as required by Article X, Section 2;
5) ensure that all reports required by TSAP and NAP are prepared and submitted by deadline;
6) call special meetings as described in Article VI, Section 3;
7) appoint special committees as necessary;
8) serve as an ex-officio member of all committees except the nominating committee;
9) have the power to assign vacant positions of convention (TSAP, NAP) delegates and alternates
at convention to ensure the Unit maximum representation;
10) fulfill such other duties as may be assigned by the Unit or its Executive Board.
B. The Vice President shall:
1) Perform the duties of the president in the absence of, or at the request of, the president;
2) succeed to the office of President if that office becomes vacant;
3) serve as Chairman of the Education Committee;
4) fulfill such other duties as may be assigned by the Unit, the Executive Board, or the President.
C. The Secretary shall:
1) record and maintain the minutes of all meetings of the Unit and the Executive Board;
2) conduct and maintain all correspondence for the Unit as directed by the Unit, the Executive Board,
or the President;

3) be the custodian of all documents including unit, association and NAP bylaws, special rules of
order, and standing rules;
4) notify NAP Headquarters, the district director, and the association president of officer changes
as needed;
5) be responsible for submitting annually a copy of the Unit bylaws to NAP Headquarters, TSAP
corresponding secretary, TSAP treasurer, and the chairman of the yearbook committee not later
than June 1 of each year;
4) fulfill such other duties as may be assigned by the Unit, the Executive Board, or the President.
D. The Treasurer shall:
1) be the custodian of all Unit funds and disburse them as directed by the Unit;
2) give an accurate report to the Unit and the Executive Board at each meeting;
3) prepare dues statements and collect all Unit dues and fees;
4) collect and remit Provisional membership dues to the Treasurer of TSAP;
5) send dues delinquency notices to members by February 10 of each year;
6) prepare for the current NAP fiscal year and file IRS form 990N by the deadline;
7) fulfill such other duties as may be assigned by the Unit, the Executive Board, or the President.
E. The Executive Member shall:
1) occupy a seat on the Executive Board;
2) attend meetings of the Executive Board;
3) fulfill such other duties as may be assigned by the Unit, the Executive Board, or the President
Article V-Elections
Section 1: A Nominating Committee consisting of three members shall be elected at the February
meeting. Nominations for this committee shall be made from the floor and election shall be viva voce. This
committee shall choose its own chairman.
Section 2: At the March meeting of the Unit, the Nominating Committee shall submit a slate of at least
one individual for each office, provided consent has been obtained from each nominee. Nominations made
from the floor must also have consent of the nominee.
Section 3: Officers shall be elected by ballot at the annual meeting (April). A majority shall elect. If
there is but one nominee for any office, the vote may be viva voce. Officers shall assume duties on May 1.
Section 4: The required number of delegates and alternates shall be elected not later than the March
meeting to represent the Unit at the annual convention of TSAP. The vote shall be viva voce and a
majority shall elect. Delegate representation is based on primary membership at the time of the Official
Call to Convention, and determined as follows:
A. one for each primary member up to six primary members;
B. one additional delegate for each additional one to five primary members; and
C. alternate delegates shall be selected in the same manner as delegates.

Section 5: The delegates and alternates to the NAP Convention shall be nominated from the floor no
later than the April meeting in odd-numbered years. Delegate representation is based on the primary
membership of the unit as of March 1 of the convention year as follows:
A. one delegate for the first five primary members of the unit, and
B. one additional delegate for each additional five primary members or major fraction thereof.
Election shall be by ballot, except when there is no more than one nominee for each delegate and
alternate position; election may be by viva voce. Any NAP member may serve as a delegate or alternate
to which this unit is entitled. Vacancies in delegate or alternate positions may be filled by the President.
Article VI-Meetings
Section 1: The Unit shall meet regularly on the fourth Monday of each month except December at a
place to be determined by the Unit. During emergency situations, at the discretion of the Executive Board,
the date, time, or place of a regular meeting may be changed by a telephone or electronic vote. The
Secretary shall be responsible for notifying the general membership of any changes no less than 24 hours
in advance.
Section 2: The regular meeting in April shall be known as the Annual Meeting and shall be for the
purpose of electing and installing officers, receiving reports of officers and committees, as directed by
these bylaws, and other business as is normally conducted at a regular meeting.
Section 3: Special meetings may be called by the President, the Executive Board, or by the signed
request of three members. Electronic signatures are acceptable. The purpose of the meeting shall be
stated in the call and at least three days notice shall be given.
Section 4: In addition to the presiding officer, three members of the Unit shall constitute a quorum at
any regular or special meeting.
Article VII-Executive Board
Section 1: The elected officers of the Unit shall be the Executive Board. A Parliamentarian may attend
in an advisory capacity.
Section 2: The Executive Board shall have general supervision of the affairs of the Unit between its
meetings.
Section 3: The Executive Board is subject to the orders of the Unit and none of its acts shall conflict
with action taken by the Unit.
Section 4: The Executive Board shall meet on the call of the President or at the request of three of its
members. The purpose of the meeting shall be stated in the call and at least three days notice shall be
given.
Section 5: Three members of the Executive Board shall constitute a quorum.

Article VIII-Committees
Section 1: The standing committees of this Unit shall be Education, Membership, Bylaws, Audit and
Budget.
Section 2: The Education Committee shall consist of the Vice President as Chairman and at least one
other member. The committee, with input from the membership, shall plan a course of study for the year
and appoint an instructor(s) as appropriate.
Section 3: The Membership Committee shall consist of a chairman appointed by the President and
members chosen at the discretion of the chairman. The Membership Committee shall be responsible for
developing methods to attract new and maintain current members.
Section 4: The Bylaws Committee shall consist of a chairman appointed by the President and
members chosen at the discretion of the chairman. The Bylaws Committee shall monitor NAP and TSAP
bylaws activity and report to the Executive Committee any changes mandated by amendments to NAP or
TSAP bylaws; be responsible for the annual completion of the NAP Bylaws Check List; submitting a copy
of the Unit’s current bylaws to the Unit secretary; and reviewing the bylaws and recommending
amendments as proscribed in Article XII.
Section 5: The Audit Committee shall consist of two members appointed by the President. Books shall
be audited and the report presented at the Annual Meeting.
Section 6: The Budget Committee shall consist of a chairman and two or more members appointed by
the President; and one member chosen at the discretion of the Budget Committee chairman.
Article IX-Electronic Meetings
The Executive Board, standing committees, and any special committees shall be authorized to meet by
telephone conference or through other electronic communications media, as long as all members may
simultaneously hear each other and participate during the meeting.
Article X-Dissolution
Section 1: Funds.
In the event of the dissolution of the Unit, funds shall be used only to accomplish the purposes specified in
the bylaws and no part of such funds shall inure, or be distributed to, the members of the Unit. Upon
dissolution of the Crossroads Unit, any funds remaining shall be forwarded to TSAP.
Section 2: Unit Charters.
Upon dissolution, the President shall return the charter within sixty (60) days to the NAP office, and shall
notify the first vice president of TSAP of this action.
Section 3: Internal Revenue Code.
This article is in compliance with 501(c) (3) of the Internal Revenue Code.

Article XI-Parliamentary Authority
The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern the Unit
in all cases to which they are applicable and in which they are not inconsistent with the bylaws of NAP,
TSAP, these bylaws or any special rules of order the Unit may adopt.
Article XII-Amendments
Section 1: These bylaws may be amended at any regular meeting of the Unit by a two-thirds (2/3)
vote, provided the amendment has been presented in writing at the previous meeting or supplied to the
members (may be electronically) no less than 14 days prior to the meeting at which they will be taken up
for a vote. Amendments to these bylaws may be proposed by any Unit members or by the Executive
Board.
Section 2: Any amendments to these bylaws mandated by amendments to NAP or TSAP Bylaws shall
be effected by the Executive Board and reported to the membership at the next regular meeting following
the adoption of such amendments by NAP or TSAP.
Section 3: These bylaws shall be reviewed by the Bylaws Committee every four years, in the year in
which the United States President is elected. The Bylaws Committee may propose recommendations at
any regular meeting as proscribed in Section 1, but no later than the March meeting if they are to be
effective May 1.
Standing Rules
1. The Crossroads Unit may reimburse a portion of the registration fee to each delegate and alternate
for the TSAP and NAP Conventions, if funds are available.
2. The initiation fee shall be used to provide new member with a binder containing at minimum,
A. a copy of the Bylaws;
B. a motions chart;
C. a cover that shall include a representation of the name and logo of the Unit; and
D. other items as the Board and Membership Chair deem appropriate. (Examples: Membership
certificate, roster, list of relevant URLs.)
3. Light refreshments may be served or purchased beginning at 6:00 p.m. and the meeting shall start
at 6:15 p.m. followed by a lesson. The meeting is scheduled to end no later than 7:45 p.m.
4. Members deleted from the rolls due to nonpayment of dues by March 1 who want to rejoin the Unit
will be considered new members and assessed the $3 initiation fee in addition to the payment of
Unit and (if not already paid) TSAP dues.”
